1. Provider and Scope

These Terms and Conditions (“Terms”) govern the access to and use of the KIMISUITE platform and related services provided by:

By creating an account, subscribing to a paid plan, accessing, or using KIMISUITE, you agree to these Terms.

If you use KIMISUITE on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. In that case, “Customer”, “you” or “your” refers to that entity.

2. Services

KIMISUITE provides a cloud-based business software platform with multiple applications, including but not limited to:

  • customer relationship management;
  • website and widget management;
  • booking and scheduling tools;
  • invoicing and billing tools;
  • document and file-related tools;
  • business automation features;
  • AI-powered features;
  • free and paid business applications.

The exact features available depend on the selected subscription plan, activated apps, extensions, and any additional agreements.

KIMISUITE may improve, modify, replace, or discontinue individual features from time to time, provided that this does not materially reduce the core functionality of an active paid subscription without reasonable notice.

3. Account Registration and Eligibility

To use KIMISUITE, you must:

  • be at least 18 years old;
  • have legal capacity to enter into binding agreements;
  • provide accurate, complete, and up-to-date registration information;
  • keep your login credentials confidential.

You are responsible for all activity under your account, including activity by users invited to your workspace.

You must notify KIMISUITE immediately if you suspect unauthorized access to your account or workspace.

4. Workspaces, Owners and Users

KIMISUITE is organized through workspaces.

A Customer may create and manage multiple workspaces. Each workspace is treated as a separate operational environment.

The workspace owner is responsible for:

  • managing the workspace;
  • managing users and permissions;
  • activating and cancelling subscriptions;
  • ensuring lawful use of the platform;
  • ensuring that all invited users comply with these Terms.

Only the workspace owner, or an authorized person with the required permissions, may subscribe to paid apps, plans or extensions.

Workspaces cannot be transferred to another owner unless KIMISUITE expressly agrees in writing.

After the first paid subscription, a workspace includes up to ten (10) users, unless otherwise stated in the selected plan. A higher user limit, such as twenty (20) users, may be available through an additional paid upgrade or a separate commercial offer. Larger teams may request an individual offer.

5. Free Apps and Paid Apps

KIMISUITE may offer both free and paid apps.

Free apps may remain accessible even if a paid subscription is cancelled, expired, or unpaid, unless the whole account is closed or terminated.

Paid apps, extensions, and premium features require an active paid subscription.

If a paid subscription ends, the related paid apps and premium features may become inaccessible while other free apps may remain available.

6. Subscriptions, Billing and Stripe Payments

KIMISUITE subscriptions may be offered on a monthly or annual basis.

Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.

Payments are processed through Stripe. KIMISUITE accepts the payment methods made available by Stripe at checkout or in the customer billing portal.

By subscribing to a paid plan, you authorize KIMISUITE and Stripe to charge the selected payment method for recurring subscription fees, applicable taxes, upgrades, renewals and other charges connected to your subscription.

KIMISUITE does not store full card details. Payment processing is handled by Stripe and is subject to Stripe’s own terms and privacy practices.

All prices are exclusive of taxes unless stated otherwise.

7. Free Trial

KIMISUITE may offer a fourteen (14) day free trial for new users or new workspaces.

A valid payment method may be required to start the trial.

Unless cancelled before the end of the trial period, the selected subscription will automatically convert into a paid subscription and the payment method will be charged.

KIMISUITE may modify, limit, or withdraw free trial offers at any time.

8. Cancellation

You may cancel a subscription through your account, billing settings, or the Stripe customer portal, where available.

Cancellation takes effect at the end of the current billing period. Unless required by law or expressly agreed otherwise, subscription fees already paid are non-refundable.

After cancellation, access to the paid app or paid features remains available until the end of the paid billing period.

9. Failed Payments and Non-Payment

If Stripe cannot collect payment, Stripe may automatically retry the payment according to the applicable payment retry settings.

If payment ultimately fails, the affected subscription may be cancelled or marked as unpaid.

Upon cancellation due to failed payment or non-payment, access to the affected paid apps, extensions, and premium features will be disabled. The workspace itself may remain available for free apps, if applicable.

Customer Data related to the affected paid apps will be archived for thirty (30) days from the subscription cancellation date.

During this thirty (30) day retention period, the Customer may reactivate the subscription. If the subscription is successfully reactivated within this period, the archived data may be restored.

If the subscription is not reactivated within thirty (30) days, KIMISUITE may permanently delete the archived Customer Data related to the cancelled subscription.

After permanent deletion, the data cannot be recovered.

Backups containing deleted data may continue to exist for a limited period as part of KIMISUITE’s normal backup and disaster recovery procedures and will be overwritten according to the normal backup rotation schedule.

10. Account Deletion by the Customer

Customers may request or initiate deletion of their account where this function is available.

If an account is deleted by the Customer, the deletion is treated as intentional and Customer Data may be deleted immediately.

Once an account or workspace has been deleted by the Customer, KIMISUITE may not be able to restore it.

The Customer is responsible for exporting any required data before deleting the account or workspace.

Deletion does not affect KIMISUITE’s right or obligation to retain certain records where required by law, including billing, tax, security, fraud prevention, accounting, or compliance records.

11. Data Export

Customers are responsible for exporting their own data.

Data export is available only during an active subscription and only to the extent supported by the relevant app or feature.

After cancellation, non-payment, termination, or account deletion, access to export functions may be limited or unavailable.

The Customer is solely responsible for keeping independent copies of business-critical information.

12. Customer Data

“Customer Data” means data, files, content, images, contacts, invoices, bookings, CRM records, website content, user information, and other materials submitted to or created within KIMISUITE by the Customer or its users.

The Customer retains ownership of Customer Data.

By using KIMISUITE, the Customer grants KIMISUITE a limited, non-exclusive, worldwide license to host, store, process, transmit, display and use Customer Data solely as necessary to provide, secure, maintain and improve the services.

The Customer is solely responsible for the accuracy, legality, quality, and integrity of Customer Data.

13. Customer Responsibility for Legal Retention Obligations

The Customer is solely responsible for complying with any statutory record retention obligations applicable to its own business records, invoices, accounting documents, tax documents, customer records or other legally relevant data.

KIMISUITE provides software tools and does not provide statutory archiving services unless expressly agreed in writing.

The Customer must export and store any legally required documents independently if required by applicable law.

KIMISUITE’s own legal retention obligations apply only to KIMISUITE’s own business records, such as invoices issued by KIMISUITE to the Customer, payment records, accounting records and legally required compliance records.

14. Acceptable Use

You must not use KIMISUITE to:

  • violate any law or regulation;
  • infringe intellectual property or privacy rights;
  • upload unlawful, harmful, misleading, defamatory or abusive content;
  • send spam or unauthorized marketing messages;
  • distribute malware or malicious code;
  • attempt to gain unauthorized access to systems or data;
  • interfere with the security or operation of KIMISUITE;
  • overload, disrupt, scrape, reverse engineer or misuse the platform;
  • store or distribute content that KIMISUITE reasonably considers harmful, illegal, or abusive.

KIMISUITE may remove content, restrict access, suspend features, or terminate accounts if these Terms are violated.

15. Storage, Files and Platform Limits

KIMISUITE may apply storage limits, file size limits, usage limits, user limits, fair use limits or technical restrictions depending on the selected plan.

KIMISUITE may block or remove files that are unlawful, harmful, technically dangerous, excessive, or in breach of these Terms.

KIMISUITE may take reasonable steps to protect the platform, infrastructure, other customers and users from abuse, overload, security risks or unlawful use.

16. AI Features

KIMISUITE may include AI-powered features, such as analytics, summaries, suggestions, automation assistance or content generation.

AI-generated outputs may be inaccurate, incomplete, outdated or unsuitable for a specific purpose.

The Customer is responsible for reviewing and verifying AI-generated output before relying on it or using it in business decisions, communications, legal, financial, tax, medical, or other sensitive contexts.

KIMISUITE does not guarantee that AI-generated output is correct, complete, lawful, or suitable for the Customer’s intended use.

17. Third-Party Services and Integrations

KIMISUITE may integrate with third-party services, including payment providers, email services, hosting services, analytics services, communication tools or other external platforms.

Third-party services are governed by their own terms and policies.

KIMISUITE is not responsible for third-party services, outages, changes, data processing, pricing, limitations or failures outside KIMISUITE’s control.

If a third-party integration becomes unavailable, KIMISUITE may modify, suspend or discontinue the affected integration.

18. Intellectual Property

KIMISUITE, including its software, platform, design, branding, documentation, workflows, applications, features and related materials, is owned by KIMISUITE LTD or its licensors.

These Terms do not transfer any intellectual property rights to the Customer.

The Customer may use KIMISUITE only in accordance with these Terms and the selected subscription.

You may not copy, modify, sell, resell, lease, sublicense, reverse engineer, reproduce or create derivative works from KIMISUITE unless expressly permitted by law or written agreement.

19. Feedback

If you provide feedback, ideas, suggestions or improvement requests, KIMISUITE may use them without restriction or compensation.

No feedback creates any ownership right for the Customer in KIMISUITE or its future developments.

20. Data Protection

KIMISUITE processes personal data in accordance with its Privacy Policy and applicable data protection laws, including the UK GDPR, the Data Protection Act 2018 and, where applicable, the EU GDPR.

For Customer Data uploaded to the platform, the Customer is generally the controller and KIMISUITE acts as processor where required by applicable data protection laws.

The Customer is responsible for ensuring that it has a lawful basis to collect, upload and process personal data through KIMISUITE.

Where required, the parties may enter into a separate Data Processing Agreement.

21. Security

KIMISUITE takes reasonable technical and organizational measures to protect the platform and Customer Data.

However, no system is completely secure. KIMISUITE does not guarantee absolute security, uninterrupted availability, or protection against all possible threats.

The Customer is responsible for using strong passwords, managing user permissions, protecting login credentials and ensuring appropriate internal security practices.

22. Availability and Maintenance

KIMISUITE aims to provide a reliable and highly available service.

However, KIMISUITE does not guarantee uninterrupted, error-free or permanently available access.

The service may be unavailable due to maintenance, updates, technical issues, security measures, infrastructure failures, third-party provider failures, internet outages or events outside KIMISUITE’s reasonable control.

Where reasonably possible, scheduled maintenance will be announced in advance.

23. Support

Support is provided via email at [email protected] or through other channels made available by KIMISUITE.

Support availability and response times may vary depending on the selected plan.

KIMISUITE may offer premium support or individual service levels under a separate agreement.

24. Suspension and Termination by KIMISUITE

KIMISUITE may suspend or terminate access to all or part of the services if:

  • payment is overdue or cannot be collected;
  • the Customer or its users violate these Terms;
  • the platform is used unlawfully or abusively;
  • continued access creates a security, legal, operational or financial risk;
  • required by law, court order, regulator, payment provider or infrastructure provider.

Where reasonable, KIMISUITE will provide notice before suspension or termination. In urgent cases, KIMISUITE may act immediately.

25. Termination by the Customer

The Customer may stop using KIMISUITE at any time.

Paid subscriptions must be cancelled before renewal to avoid future charges.

The Customer is responsible for exporting required data before termination, cancellation, account deletion or expiry of the applicable data retention period.

26. Disclaimers

KIMISUITE is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, KIMISUITE disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation or suitability for any specific business outcome.

KIMISUITE does not guarantee that the services will meet all Customer requirements or that all errors will be corrected.

27. Limitation of Liability

To the fullest extent permitted by law, KIMISUITE shall not be liable for:

  • indirect, incidental, special, consequential or punitive damages;
  • loss of profits, revenue, business, goodwill or anticipated savings;
  • loss, corruption or deletion of data where the Customer failed to export or back up required data;
  • damages caused by third-party services;
  • interruptions, delays or failures outside KIMISUITE’s reasonable control.

KIMISUITE’s total aggregate liability arising out of or in connection with these Terms shall not exceed the amount paid by the Customer to KIMISUITE for the affected service during the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is not permitted by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

28. Indemnification

The Customer agrees to indemnify and hold KIMISUITE harmless from claims, damages, losses, liabilities, costs and expenses arising from:

  • Customer Data;
  • unlawful use of the services;
  • breach of these Terms;
  • violation of third-party rights;
  • failure to comply with applicable laws;
  • actions of users invited to the Customer’s workspace.

29. Changes to the Services

KIMISUITE may update, improve, modify or discontinue features, apps, integrations or technical components.

KIMISUITE will use reasonable efforts to avoid materially reducing the core functionality of active paid subscriptions without notice.

Beta, experimental or preview features may be changed, limited or discontinued at any time.

30. Changes to these Terms

KIMISUITE may update these Terms from time to time.

Material changes will be communicated by email, platform notice or other reasonable means.

Continued use of KIMISUITE after the effective date of updated Terms constitutes acceptance of the updated Terms.

If the Customer does not agree to the updated Terms, the Customer must stop using the services and cancel any active subscription.

31. Force Majeure

KIMISUITE is not liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, war, terrorism, strikes, internet failures, power failures, cyberattacks, government actions, regulatory changes, payment provider failures, hosting provider failures or other external events.

32. Assignment

The Customer may not assign or transfer rights or obligations under these Terms without prior written consent from KIMISUITE.

KIMISUITE may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control or transfer of business operations.

33. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial and legal intent.

34. No Waiver

Failure by KIMISUITE to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.

35. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless mandatory consumer protection laws provide otherwise.
